Terms of Service

1. Services

VeloXP ("we," "us," "our") provides AI visibility, technical SEO, local/GBP optimization, and custom AI agent development services as described in the selected service tier. The specific scope of work is determined by the tier chosen at the time of purchase, as outlined in the corresponding proposal page.

2. Subscription & Payment

All subscriptions are billed on a recurring basis via Stripe. Monthly plans are billed on the same date each month, starting from the signup date. Quarterly plans are billed upfront for three-month periods at a 10% discount off the monthly rate. All fees are in US dollars and are non-refundable except as described in Section 4.

3. Deliverables

Services and deliverables are as described in the selected tier at the time of purchase. Specific scope, timelines, and priorities may be refined during the onboarding process in collaboration with the client. VeloXP will use commercially reasonable efforts to deliver all services within the stated timelines.

4. Term & Cancellation

All subscriptions begin with a minimum initial term of three (3) months. During this initial term, the subscription may not be cancelled and all fees for the full three-month period are due. After the initial three-month term, the subscription automatically converts to a month-to-month basis. You may then cancel at any time with 30 days' written notice; cancellation takes effect at the end of the current billing period. No partial-month refunds will be issued. Quarterly billing plans are billed upfront for each three-month period. Upon cancellation, you retain access to all deliverables produced during the subscription period.

5. Client Responsibilities

To enable timely delivery, the client agrees to:

• Provide access to necessary accounts (Google Business Profile, CMS, analytics platforms) within a reasonable timeframe
• Respond to requests for information, feedback, or approvals within 5 business days
• Review and approve content before publication
• Designate a primary point of contact for ongoing communication

Delays in fulfilling these responsibilities may impact delivery timelines. VeloXP is not responsible for delays caused by the client's failure to provide timely access or feedback.

6. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. This includes, but is not limited to, business strategies, financial data, customer lists, and technical configurations. This obligation survives termination of the agreement for a period of two years.

7. Intellectual Property

Content created specifically for the client (blog posts, landing pages, schema markup, custom AI agent configurations) is owned by the client upon full payment. VeloXP retains all rights to its proprietary tools, processes, methodologies, and frameworks. VeloXP may use anonymized, aggregated data from the engagement for case studies, benchmarks, and marketing materials, unless otherwise agreed in writing.

8. Limitation of Liability

VeloXP does not guarantee specific search rankings, AI mention rates, traffic volumes, or revenue outcomes. While our strategies are informed by data and industry best practices, results depend on factors outside our control, including search engine and AI platform algorithm changes, market conditions, and competitor activity.

To the maximum extent permitted by law, VeloXP's total liability for any claim arising from or related to these services is limited to the fees paid by the client in the three months immediately preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

9. Modifications

VeloXP may update these Terms of Service from time to time. We will provide at least 30 days' notice of material changes via email to the address on file. Continued use of the services after the effective date of changes constitutes acceptance of the updated terms. If you do not agree to the changes, you may cancel your subscription before the changes take effect.
